These Terms of Service constitute a legally binding agreement between you and InnectSphere (“Company”, “we”, “us”, or “our”) concerning your access to and use of our website (innectsphere.ca) and services.

All services are subject to specific project agreements, proposals, and statements of work that will detail the scope, timeline, and deliverables for your project.

User Responsibilities

By using our services, you agree to:

• Provide accurate and complete information when requested
• Maintain the security of your account credentials
• Comply with all applicable laws and regulations
• Not use our services for any illegal or unauthorized purpose
• Not interfere with or disrupt our services or servers
• Not attempt to gain unauthorized access to our systems
• Pay all fees and charges as agreed upon in your service agreement
• Provide timely feedback and approvals during project development

Prohibited Uses

You may not use our website or services to:

• Violate any local, state, national, or international law
• Infringe upon the intellectual property rights of others
• Transmit any harmful code, viruses, or malicious software
• Engage in any fraudulent or deceptive practices

Intellectual Property Rights

Our Content

Unless otherwise indicated, our website and all content, features, and functionality (including but not limited to design, text, graphics, logos, icons, images, audio clips, and software) are owned by InnectSphere and are protected by copyright, trademark, and other intellectual property laws.

Your Content

You retain all rights to any content you provide to us. However, by providing content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display your content solely for the purpose of providing our services to you.

Project Deliverables

Upon full payment of all fees, you will own the final deliverables as specified in your project agreement. We retain rights to any pre-existing materials, templates, or tools used in creating your project.

Payment and Billing

• All fees are due as specified in your service agreement or invoice
• Payment is typically required in installments based on project milestones
• Late payments may be subject to interest charges and suspension of services
• You are responsible for all applicable taxes
• Refund policies are outlined in your specific service agreement
• All prices are in Canadian Dollars (CAD) unless otherwise specified

Warranties and Disclaimers

Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner in accordance with industry standards. Specific warranties for deliverables will be outlined in your project agreement.

Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN YOUR SERVICE AGREEMENT, OUR SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL INNECTSPHERE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability to you for any damages shall not exceed the amount paid by you to InnectSphere for the specific service giving rise to the claim during the 12 months preceding the claim.

Termination

We reserve the right to terminate or suspend your access to our services immediately, without prior notice, for any reason, including but not limited to breach of these Terms.

Upon termination, your right to use our services will immediately cease. Termination does not relieve you of any payment obligations incurred prior to termination.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the “Last Updated” date.

Your continued use of our services after any modifications indicates your acceptance of the updated Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Ontario.
